Terms & Conditions

The terms that govern your use of LeadJourney as a customer, and your use of this website.

These Terms and Conditions govern your access to and use of LeadJourney, the marketing analytics and attribution platform, operated by LeadJourney Ltd., a company registered in Cyprus with its registered office at Artemidos 6 str., Office 24, Joanna Court, 6030 Larnaca, Cyprus.

By creating an account, accessing the Service, or signing a subscription order with us, you agree to be bound by these Terms. If you do not agree, you must not use the Service. If you accept these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If a separate written agreement, such as an order form or master subscription agreement, is signed between you and LeadJourney, that agreement takes precedence over these Terms in case of conflict.

Definitions

Account
The customer account you create on the Service.
Customer Data
The data, content, configuration and material you upload to, transmit through or generate via the Service, including click IDs, conversion events and CRM data you choose to integrate.
Documentation
The user guides, technical documentation and help resources we make available.
Service
The LeadJourney software as a service platform, including all features, integrations, dashboards and AI capabilities such as Atlas.
Subscription
A paid or free subscription to use the Service.
Subscription Plan
The plan tier you select, as published on leadjourney.io.
Subscription Term
The period during which you have an active Subscription.
Third-Party Services
External platforms such as Meta, Google, LinkedIn, Bing, your CRM or other tools that you choose to connect to the Service.

Eligibility and account registration

You must be at least 18 years old and able to enter into a binding contract to use the Service.

You must register for an Account and provide accurate, current and complete information. You are responsible for keeping your login credentials confidential, for all activity that occurs under your Account, and for promptly notifying us at [email protected] of any unauthorised access.

You may not share Account credentials with anyone outside your organisation, register more than one Account per organisation without our consent, provide false or misleading information, or register on behalf of a sanctioned entity or in a sanctioned jurisdiction.

Subscriptions, billing and payments

4.1 Plans and pricing
The Service is offered on a subscription basis. Pricing, features and limits for each Subscription Plan are published on leadjourney.io and may be updated from time to time. The price applicable to your Subscription is the price in effect when you signed up or last renewed.
4.2 Billing cycle
Subscriptions are billed in advance, monthly or annually depending on the plan you select. By starting a Subscription you authorise us, or our payment processor, to charge the applicable fees plus any applicable taxes to your chosen payment method.
4.3 Auto-renewal
Subscriptions renew automatically at the end of each billing period for another period of the same length, at the then current published rate, unless cancelled before the renewal date. You can cancel at any time from your Account settings.
4.4 Failed payments
If a payment fails, we may suspend access to the Service until the outstanding amount is paid. Repeated failures may result in termination of the Account.
4.5 Taxes
All fees are exclusive of VAT and other applicable taxes. Where required by law we charge VAT in addition to the listed price. EU customers may need to provide a valid VAT ID for reverse charge billing.
4.6 Price changes
We may change Subscription pricing for new Subscription Terms. Existing customers are notified at least 30 days before the change applies to their renewal.

Free trials, beta features and early access

We may offer free trials, beta features or early access programmes from time to time. Free trials may be limited in duration, features or usage volume. Beta and early access features are provided as is, may be modified, removed or made paid features at any time, and may not meet the same reliability, performance or availability standards as generally available features. We may collect additional usage data from beta features for product improvement purposes.

Acceptable use

You agree not to:

  • use the Service to violate any law, regulation or third party's rights;
  • reverse engineer, decompile or attempt to extract the source code of the Service, except where this restriction is prohibited by law;
  • use the Service to send spam, phishing or other unsolicited communications;
  • upload content that is unlawful, harmful, defamatory, infringing or otherwise objectionable;
  • use the Service to track individuals without a lawful basis under applicable privacy law;
  • bypass usage limits, security mechanisms or access controls;
  • resell, sublicense or redistribute access to the Service without our written permission;
  • use the Service to build, train or benchmark a competing product or service;
  • process special category personal data as defined in Art. 9 GDPR without a separate written agreement with us;
  • submit data that infringes the intellectual property rights of any third party.

We may suspend or terminate your access if you breach these acceptable use rules.

Customer data and data processing

7.1 Ownership
You retain all rights to Customer Data. By using the Service you grant us a limited, non-exclusive licence to host, process, transmit and display Customer Data solely as necessary to provide and improve the Service.
7.2 Roles under GDPR
Where Customer Data includes personal data subject to the GDPR or equivalent laws, you act as the controller and LeadJourney acts as the processor. Processing is governed by our Data Processing Agreement, incorporated into these Terms by reference and available on request at [email protected].
7.3 Sub-processors
We use a limited number of carefully selected sub-processors, such as cloud hosting, payment processing and email delivery providers. The current list is published in our privacy policy.
7.4 Security
We implement appropriate technical and organisational measures to protect Customer Data against unauthorised access, alteration, disclosure or destruction, in line with industry best practice. The detail is on our security page.
7.5 Data retention
During your Subscription, Customer Data is retained for the lookback windows you configure in the Service. After termination, Customer Data is retained for up to 30 days to allow recovery, then deleted unless legal obligations require longer retention. You may request earlier deletion at any time.
7.6 Aggregated data
We may use aggregated, anonymised data derived from the Service for product improvement, benchmarking and statistical analysis, in a form that does not identify you or any individual.
7.7 AI features
Customer Data is not used to train third party generative AI models. AI features such as Atlas process Customer Data within the Service to generate insights for you.

Third party services and integrations

The Service connects with Third-Party Services such as Meta, Google, LinkedIn, Bing, your CRM and other tools you choose to integrate. By connecting these services you authorise LeadJourney to access, store and process the relevant data on your behalf.

You are responsible for complying with the terms of each Third-Party Service you connect, for ensuring you have a lawful basis to share that data with LeadJourney, and for disconnecting any integration you no longer wish to use.

LeadJourney is not responsible for the availability, accuracy or behaviour of any Third-Party Service, or for changes those services make to their APIs that may affect the Service.

Intellectual property

9.1 Our IP
The Service, its software, design, branding and Documentation are the intellectual property of LeadJourney and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms and your active Subscription.
9.2 Your IP
Customer Data remains your property. Nothing in these Terms transfers ownership of Customer Data to LeadJourney.
9.3 Feedback
If you provide feedback, suggestions or feature requests, we may use that feedback for any purpose without obligation or compensation. Feedback is provided on a non-confidential basis.

Service availability

We aim to make the Service available 24/7 and schedule planned maintenance with reasonable advance notice. Unplanned downtime may occur due to technical issues, third party dependencies or events beyond our reasonable control. We do not guarantee uninterrupted or error free operation. Specific availability commitments may be offered as part of an Enterprise plan or a separate written agreement.

Confidentiality

Each party may receive confidential information from the other, such as technical, financial or business information. The receiving party agrees to use confidential information only as needed to perform under these Terms, to protect it with at least a reasonable standard of care, and not to disclose it to any third party except as necessary to provide the Service or as required by law.

This obligation does not apply to information that is publicly available, independently developed, or rightfully received from a third party without a confidentiality obligation.

Term and termination

12.1 Term
These Terms apply from the moment you create an Account or sign a Subscription order, and continue until terminated.
12.2 Termination by you
You may terminate your Subscription at any time from your Account settings. Termination takes effect at the end of the current billing period.
12.3 Termination by us
We may suspend or terminate your access immediately if you materially breach these Terms and, where the breach is curable, fail to cure within 14 days of notice; if you fail to pay outstanding fees after notice; if you use the Service in a way that creates legal, security or reputational risk for LeadJourney; or if a force majeure event prevents us from delivering the Service for an extended period.
12.4 Effect of termination
Access to the Service ends. Customer Data is retained for 30 days for recovery, then deleted. Pre-paid fees for unused Subscription periods are non-refundable except as required by law. Sections that by their nature should survive, such as intellectual property, confidentiality, liability and governing law, survive termination.

Disclaimers and warranties

To the maximum extent permitted by applicable law, the Service is provided as is and as available. LeadJourney does not warrant that the Service will meet all your specific requirements, will be uninterrupted, error free or completely secure, that all defects will be corrected, or that the Service will produce results that are accurate, reliable or complete in every situation.

LeadJourney specifically does not warrant the accuracy, completeness or timeliness of data delivered by Third-Party Services such as Meta, Google, LinkedIn, Bing or your CRM. The Service depends on those systems for source data.

Nothing in these Terms excludes or limits warranties or liability that cannot legally be excluded under applicable consumer law.

Limitation of liability

14.1 Excluded damages
Neither party is liable for indirect, incidental, special, consequential or exemplary damages, including lost profits, lost revenue, lost data, lost business opportunity or loss of goodwill, arising from or related to these Terms or the Service.
14.2 Cap on liability
LeadJourney's total aggregate liability arising from or related to these Terms or the Service in any 12 month period is limited to the amount you actually paid to LeadJourney for the Service in the 12 months immediately preceding the event giving rise to the liability.
14.3 Exceptions
Nothing in this section limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, breach of confidentiality obligations, indemnification obligations, wilful misconduct, or any liability that cannot legally be limited under applicable law.

Indemnification

15.1 By LeadJourney
We will defend you against any third party claim that the Service, when used in accordance with these Terms, infringes a valid third party intellectual property right, and will pay damages or costs finally awarded against you, or agreed in settlement, for such a claim, provided you notify us promptly and let us control the defence.
15.2 By you
You will defend LeadJourney against any third party claim arising from your Customer Data, your breach of these Terms, your unlawful use of the Service, or your violation of a third party's rights through your use of the Service.

Changes to the Service

We continuously improve the Service. We may add, modify or remove features, change usage limits or replace components, provided we do not materially diminish the core functionality of your active Subscription without reasonable notice.

Changes to these Terms

We may update these Terms from time to time. If a change materially affects your rights or obligations, we notify you at least 30 days before it takes effect, by email or in-product notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the changes, you may terminate your Subscription before the effective date.

Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict of laws principles. Any dispute arising from or related to these Terms or the Service will be submitted to the exclusive jurisdiction of the competent courts of Cyprus, except where applicable consumer law gives consumers the right to bring proceedings in their country of residence.

Dispute resolution

Before initiating legal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct communication for at least 30 days. EU consumers may also use the European Commission's online dispute resolution platform: ec.europa.eu/consumers/odr.

Miscellaneous

20.1 Entire agreement
These Terms, together with any order form, DPA or written agreement signed between the parties, constitute the entire agreement between you and LeadJourney.
20.2 Severability
If any provision is held invalid or unenforceable, the remaining provisions continue in full force and effect.
20.3 No waiver
A failure to enforce any provision is not a waiver of the right to enforce it later.
20.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms to an affiliate, or in connection with a merger, acquisition or sale of assets.
20.5 Force majeure
Neither party is liable for failure to perform due to causes beyond its reasonable control, such as natural disasters, war, civil unrest, internet outages or government actions.
20.6 Notices
Notices to LeadJourney should be sent to [email protected]. We send notices to the email address associated with your Account.
20.7 Language
These Terms are written in English. Translations are for convenience only, and the English version controls in case of conflict.
20.8 No agency
Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between the parties.
